Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Lation Labs LLC ("Lation Labs," "we," "us," or "our") governing your access to and use of our services.

2. Scope of Service

Onyx is a software service that helps teams run AI-powered Discord support workflows, including bot features, integrations, document indexing, and related dashboard functionality (the "Service").

The Service may include:

  • Free or hobby-level access with limited features
  • Paid subscription tiers with expanded features and usage allowances
  • Third-party integrations and infrastructure providers needed to operate the Service

3. Acceptance of Terms

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

If you do not agree to these Terms, do not use the Service.

4. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority where you live, to use the Service.

You are responsible for:

  • Providing accurate account information
  • Protecting your login credentials
  • All activity under your account
  • Promptly notifying us of unauthorized access or security incidents involving your account

We may suspend or terminate accounts that violate these Terms or present security, legal, or abuse risk.

5. Subscription, Billing, and Payments

5.1 Plans

We offer free/hobby access and paid subscription tiers. Paid features, usage limits, and pricing are described in the product and checkout experience.

5.2 Payment Processor

Paid subscriptions are processed through Paddle. By purchasing a paid subscription, you authorize Paddle and us (through Paddle) to charge your selected payment method for applicable fees, taxes, and renewals.

5.3 Auto-Renewal

Unless canceled before renewal, paid subscriptions renew automatically at the applicable billing interval shown at checkout.

5.4 Price Changes

We may change pricing from time to time. If a price change affects your subscription, we will provide notice through the Service, by email, or through Paddle before the change takes effect.

5.5 Taxes

Fees may exclude applicable taxes unless otherwise stated. You are responsible for applicable taxes, duties, and similar government charges, except taxes on our net income.

5.6 Failed or Late Payments

If payment fails or becomes past due, we may retry charges, limit features, downgrade, suspend, or terminate access until payment issues are resolved.

6. Cancellation and Downgrade

You may cancel your paid subscription at any time through available account or billing controls, or by contacting support@onyxbot.io.

Unless otherwise required by law, cancellation takes effect at the end of the current paid billing period, and paid access continues until that period ends.

After cancellation becomes effective, your account may move to the free/hobby tier (if available) with reduced features and usage limits.

7. Trials and Promotions

We may offer free trials or promotional pricing. Trial and promotion eligibility, duration, and conditions are determined by us or our payment provider and may be changed or ended at any time where allowed by law.

If a trial converts to a paid plan, billing begins at the end of the trial period unless you cancel before conversion.

8. Refunds

Payments are processed by Paddle as the Merchant of Record. All refund requests are handled by Paddle in accordance with Paddle's refund policy. Refund requests must be submitted within 14 days of purchase. Refunds are provided at the sole discretion of Paddle on a case-by-case basis and may be refused. There are no refunds on unused subscription periods.

9. Acceptable Use

You must use the Service lawfully and must not:

  • Violate laws or regulations
  • Infringe intellectual property or other rights
  • Attempt unauthorized access, scanning, or exploitation of systems
  • Distribute malware, spam, or abusive content through the Service
  • Interfere with system integrity, availability, or security
  • Abuse usage limits or attempt to circumvent plan restrictions

We may investigate and take action, including suspension or termination, for violations.

10. Discord Platform Compliance

Because the Service interacts with Discord, you must also comply with Discord's applicable Terms of Service, Developer Terms, policies, and guidelines.

You agree not to use the Service to perform prohibited Discord activities, including spam, raids, platform abuse, or other policy violations.

11. User Data and Content

You retain ownership of your data and content you submit to the Service ("User Data").

You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and use User Data as needed to provide, secure, maintain, and improve the Service for you.

You represent that you have all rights, permissions, and legal bases needed to provide User Data and to allow us to process it under these Terms.

12. Data Processing and Storage

To operate the Service, we and our subprocessors may process and store account data, integration metadata, uploaded content, and service interaction data (including message-related context needed for support bot functionality).

We use third-party infrastructure and tooling, including providers such as Paddle (billing), Vercel (hosting), Supabase (database/storage), Discord (platform APIs), and AI model providers.

You are responsible for ensuring your use of the Service, including uploaded content and connected integrations, complies with applicable law and third-party terms.

13. Third-Party Services

The Service may contain links to, integrations with, or dependencies on third-party services. Your use of third-party services is governed by their own terms and policies.

We are not responsible for third-party services, including their availability, security, or data handling practices.

14. Intellectual Property

The Service, including software, design, trademarks, logos, and other materials we provide (excluding User Data), is owned by Lation Labs LLC or its licensors and protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use.

You may not:

  • Copy, resell, sublicense, or distribute the Service except as expressly permitted
  • Reverse engineer or attempt to derive source code except where prohibited by law
  • Remove proprietary notices

15. Feedback

If you provide suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without compensation or attribution.

16. Service Availability and Changes

We aim to provide reliable service but do not guarantee uninterrupted, secure, or error-free operation.

We may modify, suspend, or discontinue parts of the Service at any time, including for maintenance, upgrades, abuse prevention, legal compliance, or security reasons.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATION LABS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

You agree to defend, indemnify, and hold harmless Lation Labs LLC and its affiliates, officers, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Data
  • Your violation of these Terms or applicable law
  • Your infringement of any third-party right

20. Suspension and Termination

We may suspend or terminate access to the Service immediately, with or without notice, if we believe:

  • You violated these Terms
  • Your use creates legal, financial, or security risk
  • Suspension is necessary to protect users, the Service, or third parties

Upon termination, your right to use the Service ends. We may retain or delete data as required or permitted by law and our operational policies.

21. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and may provide additional notice.

Your continued use of the Service after changes become effective means you accept the updated Terms.

22. General Terms

These Terms are the entire agreement between you and Lation Labs regarding the Service and supersede prior agreements on the same subject.

If any provision is held unenforceable, the remaining provisions remain in effect.

Our failure to enforce a provision is not a waiver of future enforcement.

You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
